OVERVIEW

XiCorp, or Xiron Corporation, is a worldwide conglomerate located in the city of Oregina, capital of Karazak, and headquartered in Xi-Towers.

A public limited green company, it was founded by Thayn Xiron some time before the abolition of slavery on Karazak. It is now owned in partnership by two majority shareholders: Johteuge and Maverin Xiron, the latter XiCorp’s CEO. The board of directors is chaired by Brason Louhar.

As a planetary conglomerate and parent company, XiCorp owns a variety of industries throughout its separate branches and subsidiaries, and is placed among the most developed corporate entities in the world.

XiCorp is known for its anti-slavery sentiments even before the abolition, with Thayn having proactively worked to better slaves’ conditions and ultimately helping to build peace after the revolution.

The corporation is also, to an extent, closely affiliated with the Government of Karazak. While she does not take active part in corporate affairs like her brother, Governor Mazeryl Xiron assists and stays updated as much as possible.

HISTORY

XiCorp was founded on Karazak some twenty years before the Battle of Yavin by a Human named Thayn Xiron, a rapidly rising tycoon of the construction industry and a philanthropist. Thayn did not hold back on using his resources to better conditions, not only for the community, but for the slaves of Karazak.

Following the fragmentation of the Galactic Empire, which saw a violent revolution on the planet, Xiron Corporation helped facilitate a new world order where slavery was abolished. Thayn worked to pioneer the corporate sector into building new and better for all Karazans, and found his company merging with others to do so.

Thayn’s children had such values instilled within them all the way down to Johteuge Xiron of the present day. Johteuge, in his waning age and health, stepped down from Chairman of the Board and gave the position to Brason Louhar, former CEO and Johteuge’s childhood friend. In turn, Maverin Xiron became the new CEO.

Ultimately, XiCorp is owned by majority shares in a partnership between Johteuge and Maverin Xiron. Maverin has continued to drive the family’s company toward helping to drive Karazak forward alongside its governor and his sister, Mazeryl.

STRUCTURE

OWNERSHIP
XiCorp, both as the parent company and the conglomerate overall, is currently owned by a partnership of Johteuge and Maverin Xiron. Between the two relatives they own the majority shares of the corporation through their holding company the Xiron Foundation.

In practice, the executive board of directors ultimately report to the shareholders, namely Johteuge Xiron. With Maverin serving the company as its CEO he in turn reports to the board as expected but still retains his power of investment and ownership.

XIRON FOUNDATION
The Xiron Foundation is the holding company for XiCorp. It is the driving force behind the corporate group as a whole, both XiCorp as the parent company and its subsidiaries, claiming outstanding stock and funding.

The foundation is owned and overseen by Johteuge and Maverin Xiron, and is the primary sponsor of the joint research institute and think tank DRAFT (Discussion, Research And Forward Thinking) headed by Mazeryl Xiron.




ORGANIZATION
XiCorp has a large and diverse leadership instituted across its many levels within the parent company and its subsidiaries. There is an ultimate leadership team for the corporate entity as a whole, the board of directors, while the subsidiaries each have their own leadership teams who report to the former.

At the top of the ladder is the executive board of directors, consisting of internal and external directors who in turn report to shareholders. Throughout the various branches and subsidiaries of XiCorp, a number have a supervisory board of directors with certain similarities to the executive.

The executive board of directors of XiCorp has a maximum of twelve members made up of inside and outside directors; four and eight respectively. However, only the Annual General Meeting (AGM), held once per year, requires all twelve members to attend in full. Meanwhile, other meetings may have a lessened quorum of which may exclude certain members depending on the nature of business.

The Chairman of the Board is considered to be the most powerful among the directors, including the CEO, due to his responsibility of evaluating both the board and the company overall. He also sets meetings and long-term goals for the CEO to execute, but is himself subject to evaluation by the board and the shareholders.

This position is filled by Brason Louhar, former CEO of XiCorp.

C-SUITE
The “C-Suite” refers to XiCorp’s senior executive team, a small number serving on the executive board of directors. Others are positioned throughout the various entities of the conglomerate but still report to the CEO.

Certain C-Suite officers have greater or less authority than others and may thus report to an officer of higher rank. They may also be complemented with presidential levels that further designate the officer’s rank, such as “President” or “Vice President”.

The offices of the C-Suite are specialized positions, particularly so throughout the different industries and branches of the XiCorp group, such as “Chief Medical Officer” and “Chief Technology Officer”.

The Corporate Executive Officer (CEO) of XiCorp is held by Maverin Xiron. Acting in unison as one of the owners of XiCorp and Vice Chairman of the Board, the CEO is the leader of the company, responsible for executing the vision and strategy, interacting with the community, managing the senior executive team and reporting to the board and its chairman.

Maverin accepted the position after being offered it by his predecessor, Brason Louhar, now serving as Chairman. Mave, himself an owner of XiCorp, determined to see both company and legacy survive and thrive by taking the reins as CEO.

The CEO also serves as Vice Chairman of the executive board of directors.

The Chief Operations Officer (COO) is held by Lin-Lin Cassol. Effectively, this position serves as the second-in-command of the CEO, acting as one of the latter’s closest confidants. The COO is responsible for ensuring that the CEO’s visions and goals are met as much as the former ensures the same for the board of directors.

Where the CEO has supreme macromanagement, it is said that the COO has supreme micromanagement. She manages the day-to-day staff activity, able to hire and fire throughout all levels, and in turn delegates duties as needed.

The COO is also the President, the highest level of corporate office beneath the CEO. Instead of setting long-term visions and strategies, the President focuses on the short-term. She may also appear for the media and manage meetings, acting as the liaison between the CEO and XiCorp’s subsidiaries.

The COO also serves as the Chief of Staff for the executive board of directors.

The Chief Financial Officer (CFO) is held by Kordril E’daan. He is responsible for XiCorp’s financial planning, management, forecasting and data analysis, and may serve as spokesperson when needed such as reporting financial growth.

The CFO wields a great deal of power sometimes equal to the COO in practice, given that he all but controls the spending and funding throughout the Company.

As Senior Executive Vice President (SEVP), Kordril is among the third-in-command beneath the CEO and the COO.

The CFO also serves as the Treasurer for the executive board of directors.

The Chief Governance Officer (CGO) is held by Shon Ive-Rith. He is responsible for ensuring the strategic governance of the company, adhering to regulatory compliance and legal requirements, keeping records and maintaining relations between the company and both the government and the public.

Since XiCorp is invested in maintaining itself as a green company, corporate governance is especially important and the CGO works closely with the legal, regulatory and quality areas of the conglomerate.

As Senior Executive Vice President (SEVP), Shon is among the third-in-command beneath the CEO and COO.

The CGO also serves as the Secretary for the executive board of directors.
INTENT

To provide some structure and tangible information to a corporation connected with my Playable Character @Mazeryl Xiron and the planet Karazak of which she governs. This is mainly for lore and storytelling purposes and does not serve as direct assets to my PC or support thereof. This is very much a work in progress, both this writeup and the utilization, so lemme know if something needs review!
